ABOUT THE CLIENT

In 2017 the Law Firm was approached by a client operating in the Internet marketing industry, informing about the need for support in the process of negotiations initiated with a contractor aimed at acquiring shares in a competitive company. This strongly indicated the need to perform due diligence on formal and legal aspects, and then carry out the transformation and optimisation process, in particular in the business management and debt collection area.

THE EFFECTS OF ORGANISATIONAL AND LEGAL OPTIMISATION

Following the acquisition of the company, the profitability of the newly acquired company increased immediately and its stable growth was achieved and maintained.

By standardising and simplifying the procedures related to business management, as well as implementing proven solutions in the field of after-sales service, the company achieved an increase in the collection of receivables from ~72% to a stable level of ~98%.

ABOUT THE CLIENT

In late 2014, a client from the e-commerce industry came to our Legal Office, indicating the need to verify the management method and propose possible changes due to stagnation in development and numerous problems in the after-sales service – especially in the field of debt collection.
After conducting an appropriate audit, including the analysis of the functioning principles of internal organisational structures (sales department, after-sales service department, accounting, human resources and the management board), a pre-implementation analysis was prepared, containing detailed information on the identified irregularities and available legal and organisational solutions.

THE ACTIONS WE HAD CARRIED OUT:

– complete company restructuring based on introducing changes in all departments, i.e.
a) sales department by preparing new rules of concluding contracts with clients along with appropriate contract models/templates;
b) optimisation of the after-sales service activities with the introduction of clear and effective guidelines in order to improve contact with the Client and increase the effectiveness of the so-called soft debt collection,
c) analysis and restructuring of the company’s management principles aimed at protecting the interests of, among others, relations with employees and the principles of processing sensitive data, from the know-how to personal data protection.
– Comprehensive support in investment and negotiation activities of companies resulting in systematic expansion of the service portfolio of business activity.
– Full takeover of debt collection activities in the field of hard debt recovery.
THE EFFECTS OF ORGANISATIONAL AND LEGAL OPTIMISATION

When the appropriate structural changes were implemented in July 2014, the company noted a significant improvement in the collection of receivables and obtained a systematic increase in revenue.

In September 2016, a client wishing to start his business activity based on the sale of services via the Internet came to our Legal Office.

THE CONDUCTED ACTIVITIES:

– full support in the start-up procedure was provided – we prepared the company’s contract models and then registered the company in the National Court Register;
– prepared templates/models of documents necessary for the commencement of business activity, while protecting the Client’s interests, including:
